The Information We Collect

This includes information provided at the time of registering to use our site, subscribing to our service, posting material or requesting further services. We may also ask you for information when you enter a competition or promotion, and when you report a problem with our site.

    purposes, although you do not have to respond to them.

  • Details of transactions you carry out through our site and of the fulfilment of your orders, such as the purchasing of tickets.

IP addresses

We may collect information about your computer, including where available your IP address, operating system and browser type, for system administration and to report aggregate information to our advertisers. This is statistical data about our users' browsing actions and patterns, and does not identify any individual.

Collecting information helps us gain a better understanding of your preferences and requirements and ultimately enables us to provide you with a better service.

Once you have registered with us, we will only contact you by electronic means (e- mail or SMS) with information about tickets and events. When you have purchased tickets, and we know what you are interested in, we will send you information only about tickets and events similar to those which were the subject of a previous sale to you. If you purchase tickets for a recurring event, we will send you information about that event in the future.

If you do not want us to use your data in this way, please tick the relevant box before purchasing your Ticket(s). You have the right to ask us not to process your personal data for marketing purposes.

We do not disclose information about identifiable individuals to our advertisers, but we may provide them with aggregate information about our users (for example, we may inform them that 500 men aged under 30 have clicked on their advertisement on any given day). We may also use such aggregate information to help advertisers reach the kind of audience they want to target (for example, women in SW1). We may make use of the personal data we have collected from you to enable us to comply with our advertisers' wishes by displaying their advertisement to that target audience.   • Customers (if you are a promoter)

 

Before purchasing your Ticket(s) you are asked whether you consent to us sharing your personal information with third parties. If you consent, third parties may contact you with information regarding their goods or services.

Otherwise, we may pass on your information when it is required by law or in order to enforce our terms of use www.tktbox.co.uk/Terms/Use/ or terms of supply www.tktbox.co.uk/Terms/Supply/ you enter into with us, or to protect the rights of others.

Terms of supply

This page (together with our Privacy Policy and Terms of Website Use) tells you information about us and the legal terms and conditions (Terms) on which we sell any of the tickets (Tickets) listed on our website (our site) to you.

These Terms will apply to any contract between us for the sale of Tickets to you (Contract). Please read these Terms carefully and make sure that you understand them, before ordering any Tickets from our site. Please note that before placing an order you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to order any Tickets from our site.

You should print a copy of these Terms or save them to your computer for future reference.

We amend these Terms from time to time as set out in clause 9. Every time you wish to order Tickets, please check these Terms to ensure you understand the terms which will apply at that time.

These Terms, and any Contract between us, are only in the English language.

 

  1. Information about us

    1.1  We operate the website www.tktbox.co.uk. We are Tkt Box Ltd, a company registered in England and Wales under company number 8150943 and with our registered office at 9A Beck Street, Nottingham NG1 1EQ.

  2. Our Tickets

    Tickets remain the property of the promoter. All Tickets shown on our site are subject to availability. We will inform you by e-mail as soon as possible if the Ticket(s) you have ordered are not available and we will refund your order if processed.

  3. Use of our site

    Your use of our site is governed by our Terms of website use. Please take the time to read these, as they include important terms which apply to you.

  4. Age restrictions and admission to events

    Events are not the responsibility of Tkt Box Ltd. Admission to an event is subject to the terms, conditions and rules of the promoter and/or venue. This may include a dress code, minimum age, acceptable behaviour or any other terms the venue and/or promoter imposes. If you or your party breach those terms then the promoter/venue has absolute discretion to refuse you admission to the event and to require you or other ticket holders to leave the venue. To avoid disappointment, we recommend that you check the event terms and carry proof of age if necessary. Admission can be refused at any time prior to an event upon refunding the purchase price. By attending an event, you consent to the taking of photographs, video, film or sound recordings as a member of the audience and this consent can be withdrawn at any time.

  1. How we use your personal information

    We only use your personal information in accordance with our Privacy Policy. For details, please see our Privacy Policy. Please take the time to read these, as they include important terms which apply to you.

  2. Legal Rights

    6.1  Nothing in these Terms will affect your legal rights in relation to Tickets.

    6.2  If you are purchasing on behalf of a business, you confirm that you have authority to bind any business on whose behalf you use our site to purchase Tickets.

    6.3  To the extent permitted by law, these Terms and our Privacy Policy and Terms of Website Use constitute the entire agreement between you and us. You acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of us which is not set out in these Terms or our Privacy Policy or Terms of Website Use.

  3. How the contract is formed between you and us

    7.1  Our order process allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process.

    7.2  We will confirm our acceptance of your order by sending you a confirmation e-mail (Order Confirmation). The Contract between us will only be formed when we send you the Order Confirmation. Your Tickets will then be despatched by post or e-mail or SMS, whichever you selected.

    7.3  If your Tickets are to be delivered to you by post you will receive a second e-mail from us confirming that the Tickets have been despatched.

    7.4  If we are unable to supply you with Tickets, for example because those Tickets are no longer available or because of an error in the price on our site, we will inform you of this by e-mail and we will not process your order. If you have already paid for the Tickets, we will refund you an amount equal to the face value of the Tickets as soon as possible, and in any event within 30 days.

  4. Our right to vary these terms

    8.1  We may revise these Terms from time to time in the following circumstances:

    1. 8.1.1  changes in how we accept payment from you.

      8.1.2  changes in relevant laws and regulatory requirements.

    8.2  Every time you order Tickets from us, the Terms in force at that time will apply to the Contract between you and us.

    8.3  Whenever we revise these Terms in accordance with this clause 8, we will keep you informed and give you notice of this by stating that these Terms have been amended and the relevant date at the top of this page.

  5. Returns and refunds

    9.1  It is your responsibility to take care of your Tickets. If Tickets are lost, stolen or are used to enter an event they cannot be replaced or refunded whatsoever.

    9.2  In addition to clause 9.1 above, Tickets cannot be exchanged, transferred or refunded except for the following reasons:

    1. 9.2.1  You do not receive the Tickets because they are sent to a different address or email or mobile phone number than the one you specified and you inform us of this within a reasonable period, but replacement Tickets are not provided;

      9.2.2  If the event for which you have bought tickets is cancelled and re- arranged we will use reasonable endeavours to provide you with re- allocated Tickets to a replacement event. If we cannot reallocate your Tickets you will be entitled to a refund of all payments made other than those for delivery. If you do not wish to or are unable to attend the replacement event then you will be entitled to a refund of all payments made other than those for delivery.

      9.2.3  If the event for which you have bought tickets has significantly changed from that which was advertised and you do not wish to or are unable to attend the changed event then you will be entitled to a refund of all payments made other than those for delivery. Tkt Box will, in its absolute discretion, determine whether there has been a significant change to the event.

    9.3  In the event that you are entitled to a refund, you must follow the steps in this clause. Provided you follow these terms, you will be refunded for all payments made other than those for delivery. Any refund will usually be paid using the same method you used to purchase the Tickets.

    9.4  If the Tickets were delivered to you by post:

    1. 9.4.1  you must return the Tickets to us as soon as reasonably practicable, and in any event no less than two working days before the event;

      9.4.2  you will be responsible for the cost of returning the Tickets to us;    

      9.4.3  you have a legal obligation to keep the Tickets in your possession and to take reasonable care of the Tickets while they are in your possession.

    You will not receive a refund if your Tickets are damaged or unfit for resale when it is returned to us, unless the damage occurred after you posted the Tickets to us.

    9.5 We have no obligation to refund tickets if the monies have already been transferred to the promoter. Once your money has been transferred it is the responsibility of the promoter to provide you with a refund. If monies are transferred back to us only then will we provide you with a refund.

  6. Delivery

    10.1  If your Tickets are being sent to you in the post, your order will be fulfilled in advance of the event, unless there is an Event Outside Our Control.

    10.2  Delivery by post will be completed when we deliver the Tickets to the address you gave us. We cannot specify the dates on which you will receive Tickets. If you do not inform us of non-receipt of Tickets within a reasonable time (in any event at least 36 hours before the event) we will have no liability to you.

    10.3  If your Tickets are being sent to you by e-mail or SMS, your order will be fulfilled and delivery completed by the sending of the Ticket by e-mail or SMS (whichever you selected).

    10.4  Delivery by e-mail or SMS will be completed when the e-mail and/or SMS is sent to the e-mail or mobile number you have provided to us.

    10.5  If for any reason we are unable to deliver your Tickets to you before the event, we will make them available for collection at the venue.

  7. International delivery

    11.1  If you order Tickets from our site for delivery outside the UK then delivery will be made by SMS or e-mail only. Delivery will be in accordance with clause 10.3 above.

    11.2  You must comply with all applicable laws and regulations of the country for which the Tickets are destined. We will not be liable or responsible if you break any such law.

  8. How to pay

    12.1  Payments for all Tickets must be made by credit or debit card or using Paypal. We accept Maestro Domestic, Visa Debit, MasterCard Credit, Visa Credit, MasterCard Signia/MasterCard World as well as the following commercial cards: MasterCard, Visa, JCB, Diners Club/Discover. Payment is processed by Streamline.

    12.2  Payment for the Tickets and all applicable delivery charges is in advance. The Tickets will be issued following receipt by us of confirmation of a successful payment from Paypal or your credit or debit payment company.

  9. Our liability

    13.1  We only supply Tickets for internal use by your business or personal use by individuals, and you agree not to use the Tickets for any re-sale purposes.

    13.2  To the extent permitted by law we have no liability to you for any loss of profits, sales, business or revenue, or any indirect or consequential loss.

    13.3 Tickets are sold subject to the promoters and/or venues right to vary the line up or venue of the event. We cannot be liable in any way for the acts of omission of the promoters or venue hosting the events.

  10. Events outside our control

    14.1  We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 14.2.

    14.2  An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

    14.3  If an Event Outside Our Control takes place that affects the performance of our obligations to you, we will publish details on our site. You are advised to check our site. In this event, our obligations to you will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Tickets to you, we will arrange a new delivery method after the Event Outside Our Control is over.

  11. Communications between us

    15.1  When we refer in these Terms to "in writing", this will include e-mail.

    15.3  If we have to contact you or give you notice in writing, we will do so by e- mail.

    15.4  Please note that any notice given by you to us, or by us to you, will be deemed received and properly served immediately when posted on our website or 24 hours after an e-mail is sent.

  12. Ticket Reselling

    16.1 Further to clause 13.1 your Tickets are for your personal use only and you are not authorised to sell one or any of your Tickets to any third party. 17 Other important terms

    17.1  We may transfer our rights and obligations under a Contract to another organisation, but this will not affect your rights or our obligations under these Terms. We will always notify you by posting on this webpage if this happens.

    17.2  You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

    17.3  This contract is between you and us. No other person shall have any rights to enforce any of its terms, whether under the Contracts (Rights of Third Parties Act) 1999 or otherwise.

    17.4  Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

    17.5  If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

    17.6  These Terms are governed by English law and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), will be governed by English law. We both agree to the non-exclusive jurisdiction of the courts of England and Wales.

    17.7  We will not file a copy of the Contract between us.

Supply of Services to Promoters

This page (together with our Privacy Policy and Terms of Website Use) tells you information about us and the legal terms and conditions (Terms) on which we accept the listing and promotion of your event (Event) on our website www.tktbox.co.uk (our site).

These Terms will apply to any contract between us for the promotion of Events (Contract). Please read these Terms carefully and make sure that you understand them, before inputting details of your Event on our site. Please note that when you register for a promoter account you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to promote Events on our site

These Terms, and any Contract between us, are only in the English language.

  1. Information about us

    1.1  We operate the website www.tktbox.co.uk We are Tkt Box Ltd, a company registered in England and Wales under company number 8150943 and with our registered office at Antenna, 9A Beck St, Nottingham NG1 1EQ. (“We/Us/Txt Box”).

  1. Promotion of Events

    2.1  You may enter and modify information about your Event on our site. This includes setting the prices for tickets and viewing and printing ticket sale lists.

    2.2  The distribution of tickets is an automated process and is our responsibility.

    2.3  A booking fee is levied by us on all ticket sales from our site.

    2.4  The ticket sales money comes to us via our site. The ticket revenue excluding the booking fee will be paid to you within three business days after the Event.

    2.5  You must ensure that we always hold up to date and valid payment details for your account. We shall not be liable under this agreement if the payment details are incorrect. You must notify us in writing of any change in payment details at least ten days before the funds are due to be transferred. Funds must be withdrawn within 12 months of monies being cleared.

  1. How the contract is formed between you and us

    3.1  Tkt Box Ltd gives you the opportunity to obtain revenue by promoting your Event on our site. By uploading the details of your Event to our site you are entering into a Contract with us regardless of whether you actually sell any tickets.

  1. Use of our site

    4.1  You may use our site only for lawful purposes. You may not use our site:

    1. 4.1.1  In any way that breaches any applicable local, national or international law or regulation.

      4.1.2  In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

      4.1.3  For the purpose of harming or attempting to harm minors in any way.

      4.1.4  To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

      4.1.5  To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

      4.1.6  To advertise anything other than the promotion of your Event.

      4.1.7  To advertise the sale or distribution of tickets by any third party.

    4.2  You must comply with the spirit and the letter of the following standards.
    The standards apply to each part of the information relating to your Event and any other information you post on our site, as well as to its whole.

    1. 4.2.1  Information must:

      1. Be accurate (where they state facts).
      2. Be genuinely held (where they state opinions).
      3. Comply with applicable law in the UK and in any country from which they are posted.

    1. 4.2.2  Information must not:

      1. Contain any material which is defamatory of any person.
      2. Contain any material which is obscene, offensive, hateful or inflammatory.
      3. Promote sexually explicit material.
      4. Promote violence.
      5. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
      6. Infringe any copyright, database right or trade mark of any other person.
      7. Be likely to deceive any person.
      8. Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
      9. Promote any illegal activity.
      10. Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.
      11. Be likely to harass, upset, embarrass, alarm or annoy any other person.
      12. Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
      13. Give the impression that they emanate from us, if this is not the case.
      14. Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse

    4.3  Although we do not monitor content, we reserve the right to suggest or make changes to content or take content down for any reason. Should this be necessary we will notify you.

    4.4  We reserve the right to suspend, at our sole discretion, the whole or any part of the site for any reason whatsoever.

    4.5  We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.

    4.6  You also agree:

    2. any equipment or network on which our site is stored;
    3. any software used in the provision of our site;

  1. Event Change or Cancellation

    5.1  You must notify us in writing within 24 hours upon becoming aware of any changes to, or cancellation of your Event and provide us with written confirmation of the changes to your Event. You must notify us in writing immediately if you become aware of any changes to, or cancellation of your Event or the date of the Event and provide us with written confirmation of the changes to your Event.

    5.2  If your Event has been cancelled you may submit a request to Tkt Box in writing to provide a replacement event with equal or similar acts or offering. Tkt Box will, in its absolute discretion, decide whether the acts or offering are equal or similar and if the replacement event is deemed suitable. If so, Txt Box shall approve the replacement event (“Replacement Event”) in writing to you. Any Replacement Event must be held within one month of the date of the Cancelled Event. If you do not provide an alternative or replacement event you will pay the costs of cancellation in accordance with clause 5.4. If the affected customers do not wish to or are unable to attend the Replacement Event, the customers shall be entitled to a refund of all payments other than those for delivery.

    5.3  If your Event has significantly changed from that which was advertised, customers who have purchased tickets to your advertised Event will be offered tickets to the changed event (“Changed Event”), details of which may be communicated to the affected customers in writing. Tkt Box will, in its absolute discretion, determine whether there has been a significant change to constitute a Changed Event. If the affected customers do not wish to or are unable to attend the Changed Event, the customers shall be entitled to a refund of all payments other than those for delivery.

    5.4  Any chargebacks, refunds or costs resulting from the cancellation of your Event or changes to your Event as set out in clauses 5.1, 5.2 or 5.3 above, including any last-minute changes, will be passed on to you. Tkt Box will send a confirmation in writing of all such chargebacks, refunds or costs arising. Any chargebacks, refunds or costs must be paid within one month of the date of notification in writing that such charges are due.

  1. Intellectual Property Rights

    6.1  You warrant that you have obtained and will maintain all necessary licences, permissions and consents required for the distribution of tickets or the publication of your Event information on our site.

  1. How we use your personal information

    We may collect personal data about you including bank details to facilitate payment. We only use your personal information in accordance with our Privacy Policy. For details, please see our Privacy Policy. Please take the time to read these, as they include important terms which apply to you.

  1. Legal Rights

    8.1  Nothing in these Terms will affect your legal rights.

    8.2  If you are entering into the Contract on behalf of a business, you confirm that you have authority to bind any business on whose behalf you use our site to promote your Event.

    8.3  To the extent permitted by law, these Terms and our Privacy Policy and Terms of Website Use constitute the entire agreement between you and us. You acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of us which is not set out in these Terms or our Privacy Policy or Terms of Website Use.

  1. Our right to vary these terms

    9.1  We may revise these Terms from time to time in the following circumstances:

    1. 9.1.1  changes in relevant laws and regulatory requirements.
    2. 9.1.2  changes in how we make payment from you.
    3. 9.1.3  by writing to you and giving you reasonable notice.

    9.2  Every time you register Events on our site, the Terms in force at that time will apply to the Contract between you and us.

    9.3  Whenever we revise these Terms in accordance with this clause 9, we will keep you informed and give you notice of this by stating that these Terms have been amended and the relevant date at the top of this page.

  1. Suspension and Termination

    10.1  We will determine, in our discretion, whether there has been a breach of this Contract through your use of our site. When a breach of this Contract has occurred, we may take such action as we deem appropriate.

    10.2  Failure to comply with the terms of use set out in clause 4 constitutes a material breach of the terms and conditions upon which you are permitted to use our site, and may result in our taking all or any of the following actions:

    1. Immediate, temporary or permanent withdrawal of your right to use our site.
    2. Immediate, temporary or permanent removal of any Event information uploaded by you to our site.
    3. Issue of a warning to you.
    4. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
    5. Further legal action against you.
    6. Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
  1. Our liability

    11.1  To the extent permitted by law we have no liability to you for any loss of profits, sales, business or revenue, or any indirect or consequential loss.

    11.2  We are not liable in any way for your acts or omission or those of the venue hosting the Events. This includes but is not limited to personal injury of members of the public.

    11.3  We shall not be liable in any way for any account or payment of VAT or other taxes incurred in relation to the face value of any tickets sold throughout site. You shall be responsible for any account or payment of VAT or other taxes incurred in relation to the tickets sold throughout the site.

    11.4  We shall not be liable in any way for the methods of advertising used by you. You shall indemnify us against all liabilities, costs, expenses, damages and losses suffered or incurred by us arising out of or in connection with any advertising by you in relation to your Event.

    11.5  We exclude liability for the misuse of promoter accounts by you or any other party. We shall not be liable in any way for any liabilities, costs, expenses, damages and losses suffered or incurred as a result of misuse of a promoter account including but not limited to incorrect withdrawal of funds, incorrect Event information, except where we have been negligent or in wilful default.

    11.6  We exclude liability for actions taken in response to breaches of the terms of use set out in clause 4. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.

    11.7  The terms implied by section 3 to 5 of the Supply of Good and Services Act 1982 are to the fullest extent permitted by law, excluded from the Contract.

    11.8  This clause 11 shall survive termination of the Contract.

  1. Events outside our control

    12.1  We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 12.2.

    12.2  An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport

    12.3  If an Event Outside Our Control takes place that affects the performance of our obligations to you, we will publish details on our site. You are advised to check our site. In this event, our obligations to you will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of tickets for your Event, we will arrange a new delivery method after the Event Outside Our Control is over.

  1. Communications between us

    13.1  When we refer, in these Terms, to "in writing", this will include e-mail.

    13.2  If you wish to contact us in writing for any other reason, you can send this to us by e-mail at info@tktbox.co.uk. You can always contact us using our Customer Services telephone line.

    13.3  If we have to contact you or give you notice in writing, we will do so by email at the address that you used when you registered.

    13.4  Please note that any notice given by you to us, or by us to you, will be deemed received and properly served immediately when posted on our website or 24 hours after an e-mail is sent.

  1. Other important terms

    14.1  We may include advertising content on e-tickets, mobile tickets or in physical stock delivery envelopes. You shall include our logo and URL on all advertising material for your Event and you shall not alter our logo in any way unless approved by us in writing. Any income generated from such activity will belong to us only.

    14.2  We may transfer our rights and obligations under a Contract to another organisation, but this will not affect your rights or our obligations under these Terms. We will always notify you by posting on the site https://www.tktbox.co.uk/ if this happens.

    14.3  You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

    14.4  Nothing in this Contract is intended to or shall be deemed to establish any partnership or joint venture between the parties nor constitute either party the agent of the other for any purpose. Neither party shall have authority to act as agent for, or to bind, the other party in any way.

    14.5  This contract is between you and us. No other person shall have any rights to enforce any of its terms, whether under the Contracts (Rights of Third Parties Act) 1999 or otherwise.

    14.6  Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

    14.7  If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

    14.8  These Terms are governed by English law and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), will be governed by English law. We both agree to the non-exclusive jurisdiction of the courts of England and Wales.

    14.9  We will not file a copy of the Contract between us.
